Alpha Nodus
Terms of use
These Website Terms of Use (the "Terms") are an agreement between you and Alpha Nodus, Inc. ("Alpha Nodus," "we," "us," or "our"). They govern your use of alphanodus.com and all of its subdomains (for example, www.alphanodus.com), and of any other website we operate that links to these Terms (together, the "Websites").
By accessing or using the Websites, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Websites.
If you use the Websites on behalf of a company or other organization, you agree to these Terms on its behalf and confirm that you have authority to do so. In that case, "you" includes that organization.
1. How these Terms relate to our customer agreements
These Terms cover the Websites only. They do not govern Gravity or other services we provide to customers (the "Services"). Each customer's use of the Services is governed by its Master Service Agreement, Order Form, Business Associate Agreement, and related documents with Alpha Nodus (together, the "Customer Agreement").
If these Terms conflict with a Customer Agreement, the Customer Agreement controls. This includes any alphanodus.com subdomain used to sign in to or deliver the Services: the Customer Agreement governs that use.
Patients: If your healthcare provider sends you a link to a Gravity page (for example, to schedule an exam, complete registration, or review a cost estimate), that page is part of the Services and is provided on your provider's behalf. It is not part of the Websites. For questions about your health information, please contact your provider, or see Section 3 of our Privacy Policy.
2. Who may use the Websites
Anyone may browse the Websites. They are designed for healthcare organizations, their staff, and other business users in the United States, and they are not directed to children.
To submit a form on behalf of an organization (for example, to request a demo or join our waitlist), you must be old enough to enter into a binding contract where you live (18 in most US states) and be authorized to act for that organization.
You must comply with all applicable laws when you use the Websites.
3. Informational content only: no medical, legal, or billing advice
The Websites include blog posts, case studies, press releases, product pages, and other resources (the "Content"). The Content is provided for general informational purposes only. In particular:
- It is not medical, clinical, legal, regulatory, billing, coding, or reimbursement advice. Don't rely on it as a substitute for advice from a qualified professional.
- It may not reflect current law or payer requirements. Coverage policies, codes, and regulations change often, and Content may be out of date when you read it.
- Using the Websites does not create a provider–patient, attorney–client, consulting, or other professional relationship between you and Alpha Nodus.
Any examples, estimates, or calculations in the Content are illustrations. Your results will depend on your organization's circumstances.
4. Do not submit health information through the Websites
Please do not submit protected health information, patient information, or other sensitive personal information through the Websites' contact, demo, sign-up, newsletter, or other forms. These forms are not designed to receive health information.
If you are a customer and need to share patient information with us, use the Services or another secure channel provided under your Customer Agreement. If you submit health information through a Website form anyway, we may delete it.
5. Product information and availability
Descriptions of the Services on the Websites are summaries. Features, capabilities, integrations, and availability vary by plan, configuration, and Customer Agreement, and some features may be offered in preview or early access. Information about future products, features, or timelines is provided for informational purposes. It is not a commitment to deliver any feature by any date, and you should not base purchasing decisions on it.
Only a signed Customer Agreement creates obligations for Alpha Nodus to provide the Services. Any pricing, proposal, or quote we share is not an offer that can be accepted, except through a signed Order Form.
6. Accounts and sign-up
- Sign-up and demo requests. Submitting the Sign Up or demo request form tells us you'd like to hear from us. A team member will follow up with you. Submitting a form doesn't create an account, start a trial, or give you access to the Services.
- Newsletter. If you subscribe to our newsletter, you can unsubscribe at any time using the link in any email.
- Accurate information. Please give accurate information when you submit a form.
- Gravity accounts. Gravity accounts are set up for a customer's Authorized Users under a Customer Agreement. If you have one, keep your login credentials confidential, and tell your administrator or support@alphanodus.com promptly if you suspect unauthorized access. These Terms don't grant any right to use the Services.
7. Our content and intellectual property
The Websites and the Content are owned by Alpha Nodus or its licensors. They are protected by copyright, trademark, and other intellectual property laws. This includes text, graphics, logos, images, videos, software, and the design and arrangement of the Websites.
Limited license. As long as you follow these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to view the Websites and to download or print Content we make available for download, for your internal business or personal, non-commercial use. You must keep all copyright and proprietary notices intact. All rights not expressly granted are reserved.
Trademarks. "Alpha Nodus," "Gravity," our logos, and related names and designs are trademarks of Alpha Nodus, Inc. You may not use them without our prior written permission, except to identify Alpha Nodus or its products accurately and in a way that doesn't suggest endorsement. Other trademarks on the Websites belong to their respective owners.
8. Acceptable use
You agree not to:
- use the Websites in violation of any law or regulation, or to infringe anyone's rights
- scrape, crawl, spider, or harvest Content or data from the Websites by automated means, except as permitted by our robots.txt file for search engine indexing
- use any Content to train, fine-tune, or evaluate artificial intelligence or machine learning models, or to build datasets, without our prior written permission
- copy, reproduce, republish, sell, or create derivative works from the Content, except as allowed in Section 7
- use the Websites or Content to build or market a competing product or service
- interfere with or disrupt the Websites, their servers, or networks, including by introducing malware, overloading the infrastructure, or circumventing security or access controls
- probe, scan, or test the vulnerability of the Websites, except as permitted in Section 9
- impersonate any person or organization, or misrepresent your affiliation with anyone
- submit false, misleading, or fraudulent information, including in demo requests or sign-up forms
- use the Websites to send spam or other unsolicited communications
- help or encourage anyone else to do any of these things
9. Security research
We welcome good-faith security research. If you believe you have found a vulnerability in the Websites or the Services, please report it to security@alphanodus.com under the Bug Bounty Program described on our Trust Center. Research that follows that program's rules, including its scope and safe harbor terms, is not a violation of Section 8. You must never access, modify, or keep patient information or other people's data while testing.
10. Feedback and submissions
If you send us ideas, suggestions, or other feedback about Alpha Nodus or our products ("Feedback"), you give us a perpetual, irrevocable, worldwide, royalty-free right to use, share, and commercialize it for any purpose, without any obligation to you. Please don't send us Feedback that you consider confidential or proprietary.
Personal information you submit through the Websites is handled under our Privacy Policy.
11. Third-party links and content
The Websites may link to, or include content from, third-party websites and services, such as partner sites, social media, payer or government resources, and embedded videos. We provide these for convenience only. We don't control them, and we aren't responsible for their content, accuracy, security, or privacy practices. Your use of third-party sites is governed by their terms.
12. Testimonials, case studies, and statistics
- Results vary. Testimonials, case studies, and performance figures on the Websites (for example, automation rates, denial rates, or time saved) reflect the experiences of specific customers. Individual results vary. They depend on many factors, including each organization's volumes, payer mix, staffing, systems, and how it uses the Services. Past results don't guarantee future outcomes.
- Testimonials. Testimonials come from real customers. We may edit them for length or clarity, and we credit them by role and type of organization rather than by personal name. If someone giving a testimonial has a material connection to Alpha Nodus (for example, they are an investor, adviser, or board member, or received compensation), we disclose it.
- Gravity statistics. Figures such as the number of patient visits, documents, or prior authorizations processed are approximate and cumulative across our customers as of the date they were published.
- Customer logos. Customer names and logos are shown with permission to identify organizations that currently use our Services. Showing them doesn't mean the customer endorses any particular statement on the Websites.
13. Privacy
Our Privacy Policy explains how we collect, use, and share information when you use the Websites, including our use of cookies and analytics. It is part of these Terms.
14. Disclaimer of warranties
THE WEBSITES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ALPHA NODUS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE WEBSITES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
This section does not limit any warranty that Alpha Nodus gives in a Customer Agreement.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- (a) ALPHA NODUS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THEY ALSO WILL NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE WEBSITES OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- (b) ALPHA NODUS'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE WEBSITES OR THE CONTENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
These limits apply to every legal theory, including contract, tort, negligence, strict liability, and statute. Some jurisdictions don't allow certain limits on liability, so some of these limits may not apply to you.
This section governs your use of the Websites only. Liability relating to the Services is governed exclusively by the Customer Agreement.
16. Indemnification
You agree to defend, indemnify, and hold harmless Alpha Nodus and its affiliates, officers, employees, and agents from any third-party claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of either of the following:
- (a) your violation of these Terms
- (b) your violation of any law or third-party right in connection with your use of the Websites
17. Suspension and termination
We may suspend or end your access to all or part of the Websites at any time, with or without notice, if we reasonably believe you have violated these Terms or that your use creates risk for us or others. We may also change, suspend, or discontinue any part of the Websites at any time. Sections 3, 7 and 10–20 survive any termination.
18. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the updated Terms on this page and update the "Last updated" date. If a change is material, we will make reasonable efforts to give additional notice, such as a notice on the Websites. Changes take effect when posted, unless we say otherwise, and apply to your use of the Websites after that date. If you don't agree to the updated Terms, stop using the Websites.
19. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Websites will be resolved exclusively in the state or federal courts located in Broward County, Florida. You and Alpha Nodus consent to the personal jurisdiction of those courts.
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
20. General terms
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Alpha Nodus about the Websites. Any Customer Agreement governs the Services, as described in Section 1.
- Severability. If a court finds any provision unenforceable, that provision will be enforced to the maximum extent permitted, and the rest of these Terms will remain in effect.
- No waiver. If we don't enforce a provision, that isn't a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them without restriction.
- Electronic communications. You agree that notices, agreements, and other communications we provide electronically satisfy any requirement that they be in writing.
- Export and sanctions. You may not use the Websites in violation of US export control or sanctions laws.
- Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
- Headings. Headings are for convenience only and don't affect how these Terms are interpreted.
